ARTICLE 2 – SUBJECT OF THE AGREEMENT

This Distance Sales Agreement (the “Agreement”) has been drawn up in relation to the product order placed electronically by the BUYER through the www.componentci.com website (the “Site”), for the purpose of determining the sale of the products, payment of the price, delivery, the right of withdrawal and the mutual rights and obligations of the Parties.

This Agreement is applied within the framework of the applicable legislation in force, in particular Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts.

ARTICLE 3 – ORDER AND FORMATION OF THE AGREEMENT

Before placing an order on the Site, the BUYER checks the characteristics, quantity, sale price, taxes, delivery charge, payment details and, if any, the supply status of the product he or she wishes to purchase.

Upon the BUYER confirming the order electronically and completing the payment transaction, this Agreement is concluded electronically within the framework of the applicable legislation.

After the order is placed, information relating to the order is sent electronically to the e-mail address provided by the BUYER or made available in an accessible form.

The BUYER is responsible for ensuring that the contact, invoice and delivery details provided during the order are accurate, complete and up to date.

ARTICLE 4 – PRODUCT INFORMATION AND ORDER AMOUNT

In relation to the products subject to the order;

  • Product name and description,

  • Product quantity,

  • Information as to whether the product is supplied from domestic stock or specially sourced from abroad,

  • Unit sale price,

  • Total sale price including taxes,

  • Delivery and any other additional charges,

  • Payment method,

  • Estimated supply and delivery information

are presented to the BUYER on the Site before the order is completed.

Depending on the status indicated on the product page, products may be offered for sale from domestic stock located in Türkiye or specially sourced from abroad upon the order of the BUYER.

For products specially sourced from abroad, the supply and delivery time may vary depending on the stock status of the manufacturer or the supplier abroad, international transport, customs and import procedures, and logistics processes within Türkiye.

The total amount of the order is the amount displayed and confirmed by the BUYER when the order is approved.

ARTICLE 5 – PAYMENT

The BUYER pays the order amount through one of the payment methods offered by the SELLER on the Site.

Where offered on the Site, payment methods may include the following:

  • Credit card,

  • Debit card,

  • Wire transfer / EFT,

  • Other electronic payment methods.

If the payment transaction is not completed or becomes invalid, the SELLER has the right not to process the order or to cancel the order, without prejudice to its rights arising from the applicable legislation.

ARTICLE 6 – DELIVERY AND SUPPLY PROCESS

The product subject to the order is sent to the delivery address specified by the BUYER during the order.

For products available in domestic stock, the product is delivered to the BUYER after the order has been prepared and the shipping/logistics process within Türkiye has been completed.

For products specially sourced from abroad upon the order of the customer, the supply process of the product is carried out depending on the stock status of the manufacturer or the supplier abroad, international transport, customs and import procedures, and the shipping and logistics processes within Türkiye.

The estimated supply and delivery time of products specially sourced from abroad is, to the extent possible, presented to the BUYER on the product page or at the order stage.

In consumer transactions, the SELLER is obliged to deliver the goods subject to the order within the period it has undertaken as of the date the order reaches it and, in any event, within the period provided for in the legislation, without prejudice to the special provisions of the legislation regarding contracts for goods prepared in line with the consumer's request or personal needs.

The delivery time may vary depending on circumstances such as the stock and supply status of the product, the order preparation process, the courier company, public holidays and events of force majeure occurring outside the control of the SELLER.

The BUYER is responsible for ensuring that the delivery address provided during the order is accurate and complete.

ARTICLE 7 – INSPECTION ON DELIVERY

Upon delivery, the BUYER may check whether there is any visible damage to the outer packaging or parcel of the product.

If there is obvious transport-related damage to the packaging or parcel, it is recommended that the situation be reported to the courier officer to the extent possible and that the necessary records be made.

The inspection carried out at the time of delivery does not eliminate the BUYER's statutory rights regarding defective goods or other legal rights.

ARTICLE 8 – OBLIGATIONS OF THE SELLER

The SELLER;

  • undertakes to deliver the product subject to the order in accordance with the characteristics specified at the time of the order,

  • to send the product to the BUYER in accordance with the legislation,

  • to provide the necessary information where products are supplied from domestic stock or specially sourced from abroad,

  • to fulfil its obligations arising from consumer legislation,

  • to provide the necessary information regarding the order and delivery process

accepts and undertakes the above.

ARTICLE 9 – OBLIGATIONS OF THE BUYER

The BUYER;

  • declares that the information provided during the order is accurate and complete,

  • that the order amount will be paid by the specified payment method,

  • that the delivery details will be correct,

  • that after delivery the product will be stored and used in a manner appropriate to its nature,

  • and that, if the right of return or withdrawal is exercised, the obligations set out in the relevant legislation will be complied with.

accepts and undertakes the above.

ARTICLE 10 – ORDER CANCELLATION

If the order has not yet been handed over to the courier, the BUYER may submit an order cancellation request to the SELLER by e-mail.

The cancellation request is evaluated taking into account the current status of the order and without prejudice to the provisions of the applicable legislation.

If the order amount has been collected and the order is cancelled, the relevant amount is refunded to the BUYER within the framework of the applicable legislation and the processing times of the payment institutions.

For orders that have been handed over to the courier, the provisions on return or the right of withdrawal under the relevant legislation apply instead of order cancellation.

ARTICLE 11 – RIGHT OF WITHDRAWAL

In distance sales carried out by the BUYER in the capacity of a consumer, where a right of withdrawal exists under the applicable legislation, the BUYER may exercise the right of withdrawal within 14 days from the date the product is delivered to the BUYER or to a third party designated by the BUYER, without giving any reason and without paying any penalty. The consumer may also exercise the right of withdrawal before the goods are delivered.

In order to exercise the right of withdrawal, it is sufficient for the BUYER to give the SELLER a clear notice in writing or through a durable medium within the withdrawal period.

Notices regarding the exercise of the right of withdrawal may be sent to the e-mail address info@componentci.com.

Unless the SELLER has made an offer to collect the goods itself, the BUYER shall return the goods subject to withdrawal to the SELLER or to the person authorised by the SELLER within the period specified in the legislation, counted from the withdrawal notice.

Where the right of withdrawal is exercised, the return of the product and the refund of the price are carried out in accordance with the provisions of the applicable legislation.

ARTICLE 12 – EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

Where the exceptions set out in the applicable legislation apply, the right of withdrawal cannot be exercised.

In particular;

  • contracts for goods prepared in line with the requests or personal needs of the BUYER,

  • contracts for goods that are perishable or liable to expire,

  • contracts for goods whose protective elements such as packaging, tape, seal or parcel have been opened after delivery and whose return is not suitable in terms of health or hygiene,

  • contracts for goods which, after delivery, become mixed with other products and which by their nature cannot be separated,

  • the circumstances provided for in the legislation in contracts for books, digital content and computer consumables whose protective elements such as packaging, tape, seal or parcel have been opened after delivery,

  • contracts for services performed instantaneously in an electronic environment,

  • contracts for intangible goods delivered instantaneously to the consumer,

  • contracts for services the performance of which has begun, with the approval of the consumer, before the expiry of the withdrawal period,

  • contracts for goods or services whose price varies depending on fluctuations in financial markets and which are not under the control of the SELLER,

  • other products and services for which the legislation provides that the right of withdrawal cannot be exercised

are subject to the provisions of the relevant legislation.

For products specially sourced from abroad upon the order of the customer, where the product is prepared in line with the requests or personal needs of the BUYER, or where the order by its nature falls within one of the exceptions to the right of withdrawal set out in the applicable legislation, the right of withdrawal cannot be exercised.

However, the mere fact that a product has been sourced from abroad does not, in itself, result in the loss of the right of withdrawal. Whether a right of withdrawal exists is determined taking into account the nature of the product, the manner of the order and the provisions of the applicable legislation.

For products sold from domestic stock as well, where an exception to the right of withdrawal set out in the legislation applies due to the nature of the product, the provisions of that exception apply.

For electronic components, technical products and similar goods, the applicability of the right of return or withdrawal is assessed taking into account the nature of the product, the manner of the order, its condition of use and the applicable legislation.

ARTICLE 13 – RETURN AND REFUND

Where the right of withdrawal is exercised in accordance with the legislation, or where a right of return arises under the legislation, the return of the product and the refund of the price are carried out in accordance with the provisions of the applicable legislation.

For products sold from domestic stock and covered by the right of withdrawal, the statutory right of withdrawal of the BUYER is reserved.

For products specially sourced from abroad upon the order of the customer, account is taken of the nature of the product, the manner of the order and whether an exception to the right of withdrawal exists under the applicable legislation.

The right of withdrawal cannot be exercised for products falling within an exception to the right of withdrawal.

The refund is made, within the scope of the applicable legislation and to the extent possible, through the payment method used at the time of purchase.

Where the right of withdrawal is duly exercised, the SELLER refunds the payments collected within the period and under the conditions set out in the legislation.

Due to the processing times of banks and payment institutions, the time for the amount to be reflected in the account of the BUYER may vary.

Return shipping charges and other matters relating to sending the product to the SELLER are determined according to the applicable legislation and the nature of the return transaction.

ARTICLE 14 – DEFECTIVE OR FAULTY PRODUCTS

Where the delivered product is found to be defective or faulty, the rights of the BUYER under Law No. 6502 on Consumer Protection and the relevant legislation are reserved.

The BUYER may benefit from the optional rights granted under the legislation.

Products reported as faulty or defective may be subjected to technical examination where deemed necessary.

Within the scope of the technical examination, the product may be sent to the manufacturer, the distributor or an authorised technical service.

Where the product is found to be faulty as a result of the examination, the action to be taken is determined in line with the applicable legislation, the nature of the product and the legal rights of the BUYER.

ARTICLE 15 – TECHNICAL EXAMINATION OF THE PRODUCT

For products reported as faulty or defective, technical tests and examinations may be carried out in order to determine the source of the fault.

As a result of the examination;

  • the detection of a fault arising from manufacturing or not caused by the user,

  • the detection of damage caused by the user or an error of use,

  • the inability to detect the reported fault during the technical examination

the necessary action is taken under the applicable legislation according to such circumstances.

The technical examination process of the product may, where necessary, be carried out by the manufacturer, the distributor or an authorised technical service.

The carrying out of a technical examination does not eliminate the rights of the BUYER arising from the applicable legislation.

ARTICLE 16 – PERSONAL DATA

Personal data belonging to the BUYER is processed in line with the applicable legislation and the policies and texts of the SELLER on the protection of personal data.

Detailed information on the processing of personal data can be found in the Privacy Notice on the Protection and Processing of Personal Data and the other relevant texts published on the Site.

The BUYER is responsible for providing the personal information required, accurately and up to date, so that order and sales transactions can be carried out.

ARTICLE 17 – FORCE MAJEURE

Natural disasters, war, epidemics, fire, strikes, infrastructure and communication failures, transport problems, decisions of official authorities and similar circumstances that occur outside the control of the Parties and that temporarily or permanently prevent the fulfilment of obligations may be regarded as force majeure under the applicable legislation.

In particular, for products specially sourced from abroad, international transport problems, customs procedures, import processes, and circumstances arising in the supply chain of the manufacturer or the supplier abroad that are beyond the reasonable control of the SELLER may affect the delivery process.

In cases of force majeure, the rights of the Parties arising from the applicable legislation are reserved.

ARTICLE 18 – SETTLEMENT OF DISPUTES

The provisions of the consumer legislation in force apply to disputes that may arise from the application of this Agreement.

In consumer transactions, the Consumer Arbitration Committees and Consumer Courts have jurisdiction within the monetary limits determined in the relevant legislation.

For non-consumer transactions, the competent and authorised courts and enforcement offices under the applicable legislation apply.

ARTICLE 19 – ENTRY INTO FORCE

The BUYER accepts and declares that, before completing the order on the Site, the BUYER has read and reviewed this Agreement and has seen the information presented under the agreement.

This Agreement enters into force upon the BUYER confirming the order electronically.

The date on which the agreement is concluded electronically is deemed to be the order date.
